Welcome to SciRise, Inc. ("SciRise," "we," "us," or "our"). By accessing or using the SciRise cloud-based software platform ("Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By creating an account or using the Service, you agree to these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
SciRise provides a foundation intelligence platform for nonprofits, universities, and other mission-driven organizations. The Service analyzes public grant data from IRS 990 and 990-PF filings to help organizations identify, evaluate, and pursue foundation funding opportunities. The platform includes programmatic funding network analysis, peer benchmarking, foundation research tools, portfolio management, and collaborative features for organizational teams.
3. User Accounts
You may need to register for an account to access certain features. You agree to provide accurate and complete registration information and to maintain the confidentiality of your account credentials. You are responsible for all activities under your account. Notify us immediately of any unauthorized use or security breach of your account.
4. Platform Data and Sources
The Service is built on publicly available data, primarily IRS tax filings (Forms 990 and 990-PF). SciRise processes this data through entity resolution, network analysis, and statistical modeling to generate foundation recommendations and organizational benchmarks.
- Public Foundation Data: Grant histories, foundation profiles, board and officer information, and financial data are derived from public IRS filings. Individuals named in these records are public figures appearing in tax filings and are not users of the Service.
- Programmatic Predictions: Foundation matching and funding predictions are generated by programmatic network analysis algorithms, not by artificial intelligence. These predictions are statistically validated against historical grant data but do not guarantee future funding outcomes. Past grant patterns are not assurances of future awards.
- No PHI: The Service does not collect, store, or process protected health information (PHI).

5. AI-Powered Features
Certain features of the Service use artificial intelligence provided by third-party AI services (currently OpenAI). These AI-powered features are:
- Application Process Screening: AI analysis of foundation application processes and eligibility requirements.
- Board and Staff Connection Analysis: AI-assisted identification of connections between your organization's personnel and foundation board members or staff.
When you use AI-powered features, relevant organizational context (such as your organization name, mission, and personnel names) may be sent to our AI service provider for processing. AI-generated outputs are informational and may contain errors. You should independently verify AI-generated information before relying on it for funding decisions. SciRise does not guarantee the accuracy or completeness of AI-generated content.
6. Subscription Plans and Billing
The Service offers both free and paid subscription tiers. Paid subscriptions are billed through Stripe, our third-party payment processor.
- Free Tier: Basic access to platform features with usage limits. No credit card required.
- Paid Tiers: Enhanced access with higher limits on saved foundations, funding priorities, AI features, and team collaboration capabilities. Specific features and limits for each tier are described on our pricing page.
- Billing: Paid subscriptions are billed on a monthly or annual basis. Subscriptions auto-renew unless cancelled before the renewal date.
- Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
- Usage Limits: Each subscription tier includes daily and monthly usage limits for AI-powered features. Exceeding these limits will temporarily restrict access to those features until the next reset period.
7. User Content
You may create content through the Service, including notes on foundations, portfolio selections, custom opportunities, foundation assignments, and feedback on recommendations ("User Content"). You retain ownership of your User Content. By using the Service, you grant SciRise a limited license to store, process, and display your User Content solely to provide the Service to you and your organization. Upon account deletion, your User Content will be removed in accordance with our data retention practices described in our Privacy Policy.
8. Permitted Use and Restrictions
You agree to use the Service only for your organization's internal purposes, in accordance with these Terms. You may not:
- Violate any applicable law or regulation;
- Attempt unauthorized access to any part of the Service;
- Use automated tools, bots, scrapers, crawlers, or similar technology to access, extract, or index data from the Service;
- Download, copy, or collect data from the Service to build or augment any external database, dataset, product, or service;
- Resell, redistribute, sublicense, publish, or commercially exploit any data, analyses, recommendations, or other output obtained through the Service;
- Use data from the Service to build, train, or improve any competing product or service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, scoring models, or data structures of the Service;
- Share account credentials or allow multiple individuals to use a single account (team access is available through paid plans);
- Disrupt, overload, or interfere with the Service or its infrastructure.
9. Intellectual Property
All rights, title, and interest in and to the Service are owned by SciRise, Inc. or its licensors. This includes, without limitation:
- The software, source code, algorithms, and scoring models that power the Service;
- The proprietary entity resolution system, including curated organizational aliases, name mappings, and cross-reference tables;
- The funding network graph, peer models, and statistical models derived from analysis of public data;
- The curated and structured datasets produced by SciRise's processing of raw public filings, which constitute original compilations and databases;
- All visual designs, user interfaces, documentation, and branding.
While the underlying IRS tax filings are public records, SciRise's processing, structuring, entity resolution, network modeling, and analytical outputs represent substantial original work and are proprietary to SciRise, Inc.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal purposes as permitted under these Terms. This license does not convey any ownership interest in the Service or its data. Any unauthorized use of the Service's proprietary data, algorithms, or outputs may result in immediate termination of your account.
10. Disclaimers
- As Is: The Service is provided "as is" and "as available," without warranties of any kind, either express or implied. SciRise does not guarantee uninterrupted or error-free Service and may modify, update, or discontinue the Service at any time.
- Data Accuracy: While SciRise strives to provide accurate data derived from public IRS filings, we do not warrant that any data or content provided through the Service is error-free, complete, or current. IRS filing data may contain errors from the original filer, and there may be delays between when filings are submitted and when they appear in our system.
- Predictions: Foundation recommendations and funding predictions are based on statistical analysis of historical grant patterns. They indicate likelihood based on past behavior and do not constitute a guarantee of future funding. You should use predictions as one input among many in your funding strategy.
- Not Professional Advice: The Service does not provide legal, financial, or professional fundraising advice. Consult qualified professionals for decisions about your organization's funding strategy.
11. Limitation of Liability
To the maximum extent permitted by law, SciRise, Inc. and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use the Service.
12. Indemnification
You agree to indemnify and hold harmless SciRise, Inc. from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.
13. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful.
14. Changes to Terms
SciRise may update these Terms from time to time. We will notify you of material changes, and your continued use of the Service constitutes acceptance of those changes.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
